Battle of the Brackets Challenge 2023

TERMS AND CONDITIONS TO PARTICIPATE IN THE “BATTLE OF THE BRACKETS CHALLENGE” PRESENTED BY INSPEREX LLC

THE FOLLOWING PROMOTION IS INTENDED FOR PARTICIPANTS THAT RESIDE IN THE UNITED STATES AND THE DISTRICT OF COLUMBIA ONLY (EXCLUDING PUERTO RICO, OTHER U.S. TERRITORIES AND FOREIGN TERRITORIES) AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT PROCEED WITH THIS PROMOTION IF YOU ARE NOT LOCATED IN THE UNITED STATES OR THE DISTRICT OF COLUMBIA.  BY SUBMITTING A BRACKET, PARTICIPANTS AGREE TO COMPLY WITH AND BE BOUND BY ALL TERMS AND CONDITIONS SPECIFIED HEREIN. 

1. Eligibility. These are the official rules (the “Official Rules”) for InspereX’s “Battle of the Brackets Challenge” (the “Promotion”). The Promotion is open to legal residents of the 50 United States and the District of Columbia (EXCLUDING PUERTO RICO, OTHER UNITED STATES TERRITORIES, AND FOREIGN TERRITORIES), who are eighteen (18) years or older as of the date of entry. To participate in the Promotion, you must visit InspereX.com/hoops22, create a login and enter your bracket winner selections. The Promotion is intended only for InspereX’s clients, prospective clients, issuers, associates, and all other persons invited by InspereX. All Entrants agree that their employer allows participation in the contest. Parents, stepparents, children, stepchildren, siblings, spouses, household members or friends of anyone invited not previously on InspereX’s email account are not eligible for the Promotion.  By agreeing to participate in this Promotion, Entrant has preapproved participation with their employer’s compliance or human resources departments and is acting in compliance with all FINRA, SEC, or State rules and regulations (as applicable) and employer’s policies and procedures. Participation in the Promotion constitutes Entrant's full and unconditional agreement to these Official Rules and to InspereX’s decisions. The decisions of InspereX regarding all matters relating to the Promotion are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. From all eligible entries received, the winner will be determined based on their ability to accumulate the most points in this Promotion during the 2022 NCAA Men's and Women’s Basketball Tournaments (the "Tournament"). If you are a college athlete or expect to be one, participating in this Promotion could affect your NCAA® eligibility. This Promotion is void in all U.S. Territories, (e.g., Puerto Rico and Guam) and where prohibited or restricted by law and subject to all applicable federal, state, local, municipal and FINRA laws and regulations.

    

2. Sponsor. This Promotion is sponsored by InspereX LLC. This contest is not endorsed by, associated with, or sponsored by, the National Collegiate Athletic Association ("NCAA"), its members or partners. InspereX complies with applicable FINRA and SEC rules.

    

3. Promotion Entry, Limit, No Entry Fee. To access and/or enter the Promotion, log on to InspereX.com/hoops22. If you are not already a member, you will be asked to provide your full name, business email, firm name (collectively “User Information”) and to select a screen name. You are responsible for the secrecy of your access code for return login. InspereX and other third parties are not responsible or liable for any actions taken using your access code. One (1) entry per person per men’s tournament and women’s tournament regardless of the number of email addresses. There is no entry fee required to participate in the Promotion. Only entries received online in accordance with these Official Rules will be accepted. No other forms of entry - fax, mail, email, phone or other - will be accepted. Entry materials/data that have been tampered with or altered are void. Winner will be determined on or about Wednesday, April 6, 2022.  Winners will be notified on or shortly after such date. 

    

4. Timing and Lock-time. Entry in the Promotion begins on Monday, March 14, 2022, at 12:00pm Eastern Time and concludes on Thursday, March 17, 2022, at 11:00am Eastern Time. The Promotion begins on Thursday, March 17, 2022, at 12:00pm Eastern Time and ends on Monday, April 4, 2022, at 11:59pm (or upon the completion of the Men’s Tournament) (the "Promotion Period"). All picks will lock at the scheduled tip off time of the Men’s Tournament currently scheduled for Thursday, March 17, 2022. Your picks for the matchups must be submitted, received, and recorded by InspereX’s computer by the scheduled lock time. Selections submitted after the deadline are considered invalid. InspereX’s computer is the official time-keeping device for this Promotion. For purposes of these Official Rules, all times are Eastern Time ("ET").

    

5. Prizes, Winner Selection, and Notification. The Men’s and Women’s bracket with the highest number of points accumulated throughout the entire Promotion that also beats Tom Ricketts’s bracket point accumulation will, along with a guest, be invited to join an employee of InspereX for a tour of Wrigley Field and to attend a Chicago Cubs baseball game. The choice of date for the tour and Cubs’ game, subject to availability, must be scheduled by the grand prize winner and communicated to InspereX prior to the selected date. Up to twenty-five (25) additional runner-up winners for each tournament will each receive a $10 Starbucks gift card as a consolation gift. No one person can win the grand prize for both Men’s and Women’s tournaments. In the event a person finishes with the highest number of points for both tournaments, the entrant with the second most points (Men’s vs Women’s tournaments) will be awarded the grand prize for the respective tournament. Those selected to receive a Starbucks gift card will receive the gift via the email address provided by the Entrant. All grand prize gifts and consolation gifts awarded in the Promotion will be recorded and deemed as a gift in accordance with FINRA rules, subject to annual gift limits.  In the event of a tie, winners will be randomly selected by InspereX.

    

6. Entry Errors/No Return of Entries. InspereX is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible, or misdirected entries, which will be disqualified. InspereX is not responsible for any unavailability of or interruptions to any service or equipment used in connection with the Promotion, including, without limitation, (1) interruptions to any network, server, Internet, website, telephone, satellite, computer or other connections (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, or (4) other errors of any kind, whether human, technical, mechanical or electronic, or (5) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information. Once submitted, entries become the sole property of InspereX and will not be acknowledged or returned.

    

7. Disputes. In the event of a dispute, the authorized account holder at the time of entry will be deemed to be the entrant. INSPEREX RESERVES THE RIGHT TO DISQUALIFY ANY ENTRANT IF IT DETERMINES, IN ITS SOLE DISCRETION, THAT ANY USER INFORMATION WAS CHANGED OR FALSIFIED IN ORDER TO MEET ELIGIBILITY REQUIREMENTS. The decisions of the professional referees officiating the games shall be final and binding regarding the outcome and scoring of the game.

    

8. Conditions of Participation. Participation constitutes Entrant's full and unconditional agreement to these official rules and to InspereX’s decisions. The decisions of the InspereX in regard to all matters of this Promotion are final and binding. InspereX reserves the right in its sole discretion, to modify, cancel, terminate, and/or suspend the Promotion and to disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, InspereX may lock out an Entrant who, in InspereX’s sole judgment, has been disqualified, has questionable eligibility or is otherwise ineligible to enter. A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION OR TO ALTER OR DAMAGE WWW.INSPEREX.COM/HOOPS22 OR ANY OF INSPEREX’S WEBSITES, INTELLECTUAL PROPERTY, TRADEMARK, OR PROPERTY MAY BE SUBJECT TO PENALTIES AND FINES PROVIDED BY APPLICABLE LAW. INSPEREX RESERVES THE RIGHT TO SEEK EQUITABLE RELIEF AND/OR DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

   Without limiting the foregoing, InspereX may modify, cancel, terminate, and/or suspend the Promotion at its sole and absolute discretion at any time. InspereX reserves the right to award prizes based on scores or at its discretion at the time this promotion is cancelled, modified or suspended

9. Release and Indemnity. By participating in this Promotion or receiving a prize, Entrants (and in particular, winner) agree to release and indemnify and hold harmless InspereX and all of ITS respective officers, directors, employees and agents (collectively, the "Released Parties") for any liability, injury, death, loss or damages to Entrant or any person or entity, including without limitation damage to personal or real property, caused in whole or in part, directly or indirectly, by participation in this Promotion (or related activities) or the acceptance, possession or use/misuse of a prize.

    

10. Entertainment Purposes Only. This Promotion is strictly for entertainment purposes and may not be used in connection with any form of gambling, lottery, wagering, or other prohibited activity. The NCAA ® does not promote, endorse or condone gambling or sports wagering of any kind. The NCAA ® membership has adopted specific legislation prohibiting athletic department staff members, conference office staff, national office staff and student-athletes from engaging in sports gambling activities as they relate to intercollegiate or professional sporting events.

     

     

11. Disputes/Choice of Law/Pre-Dispute Arbitration Agreement. Except where prohibited, each Entrant agrees that: (1) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and excluding attorneys' fees; and (2) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, "Special Damages"), and (3) Entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. Florida law, without reference to Florida’s choice of law rules, governs the Promotion and all aspects related thereto. By agreeing to participate in this Promotion, Entrant agrees that all controversies and claims whether premised upon federal, state, or common law, which may arise between us concerning any transaction or the construction, performance, or breach of this or any other agreement between us, whether entered into prior, on, or subsequent to the date hereof, shall be determined by arbitration upon the request of either you or us. Such arbitration shall be conducted under the provisions of the constitution and rules then in effect of the Code of Arbitration of FINRA Dispute Resolution or the constitution, by-laws, and rules or regulations relating to arbitrations of other national securities exchanges of which we are a member, as you or we may elect, or as you and we may otherwise mutually elect in writing. No person shall bring a putative or certified class or mass action to arbitration, nor seek to enforce any pre-dispute arbitration agreement against any person who has initiated in court a putative class action, or who is a member of a putative class who has not opted out of the class with respect to any claims encompassed by the putative class action, until: (i) the class certification is denied; or (ii) the class is decertified; or (iii) the client is excluded from the class by the court. Such forbearance to enforce an agreement to arbitrate shall not constitute a waiver of any rights under this agreement except to the extent stated herein.

     

12. Limitations of Liability. InspereX and Released Parties do not make any representation, warranty or guarantee, express or implied, relating to the Promotion or gifts, and are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment, hardware, software or programming associated or used with the Promotion; (2) technical errors, defects, delays or failures of any kind, including without limitation malfunctions, interruptions or disconnections in communications lines, Internet or website access, hardware or software; (3) digital or electronic disruptions, e.g., viruses; (4) unauthorized human intervention, e.g., hacking; (5) technical or human error which may occur in connection with any aspect of the Promotion; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Promotion, access to, copying or downloading materials from InspereX.com or any other website, or receipt or use of any prize.
